Purchase and Refund Policy

Effective Date: May, 1st, 2025

This Purchase and Refund Policy (“Policy”) governs all purchase transactions, including digital courses, consulting services, software, tools, website design and hosting, digital assets, subscriptions, memberships, and all other services provided by Sutton & Smart LLC (“Sutton & Smart,” “we,” or “Company”). By making any purchase from Sutton & Smart, you (“User”) expressly agree to be bound by this Policy, which supplements and is incorporated by reference into the Company’s Terms of Service Agreement.

1. Conditional License; Ownership Retained Until Payment in Full

All products, services, materials, digital courses, software, website content, platforms, tools, digital assets (including websites, graphics, marketing materials, campaigns, domains, and creative deliverables), and any other materials (collectively, “Materials”) provided or produced by Sutton & Smart LLC are provided under a strictly conditional, revocable license only. You do not acquire ownership of these Materials unless explicitly stated in a separate signed agreement and all payments owed are received in full.

Sutton & Smart LLC retains exclusive ownership and intellectual property rights of all Materials until your account balance is fully paid and current. Only upon complete payment as defined in your specific service agreement or invoice do you receive a perpetual, non-exclusive license to use these Materials according to your contract terms. Before complete payment, your license is temporary, revocable, and conditional upon compliance with all payment and policy terms.

The Company explicitly retains the right to suspend, restrict, revoke, or terminate your access or license to these Materials immediately upon non-payment or breach of any term of the Terms of Service or this Policy. In such an event, you agree you have no further rights or claims to continued access or usage of Materials, nor entitlement to backups, archives, or delivery of work product.

Full payment grants only a perpetual, non-exclusive usage license. Ownership of all courses, materials, content, and intellectual property always remains exclusively with Sutton & Smart LLC. No transfer of ownership rights occurs under any circumstances.

2. No Refund Policy – All Services and Products (General)

Except as explicitly provided for certain digital courses in Section 3, all sales are final and non-refundable. This no-refund policy applies universally, including but not limited to:

• Consulting and advisory services

• Subscription services and memberships

• Website design, hosting, and digital asset creation

• Software, digital tools, and platforms

• Community, forum, or group access

• Digital content, reports, templates, and downloads

• Any other products, services, or deliverables provided by the Company

You agree not to initiate any chargebacks, payment disputes, or similar reversals. Such actions are strictly prohibited, constitute a material breach of your agreement with Sutton & Smart LLC, and entitle the Company to immediate suspension or termination of all services, licenses, and access, plus recovery of costs incurred.

3. Conditional 30-Day Refund Exception (Digital Courses Only)

For certain clearly identified paid digital courses only, Sutton & Smart LLC offers a limited conditional refund. To be eligible, you must strictly fulfill ALL of the following conditions:

• Active Participation: Demonstrate diligent engagement for the full initial 30-day period post-purchase.

• Full Course Completion: Complete 100% of course modules within 30 days, marking each module as finished.

• Attendance: Attend and actively participate in all required live calls or interactive sessions.

• Implementation Effort: Provide clear and documented evidence of diligent attempts to implement the strategies taught in the course.

• Refund Request Deadline: Submit a formal written refund request strictly between Day 29 and Day 32 from the date of original purchase.

Late or incomplete requests will be denied without exception. The burden of proof lies solely with you to verify eligibility. Sutton & Smart LLC retains absolute discretion in evaluating and deciding refund eligibility. All refund decisions are final.

Approved refunds will be processed to the original payment method within approximately 10 business days of approval.

4. Subscription Services; Cancellation; No Partial Refunds

Subscription services billed on a recurring basis (monthly or otherwise) may be canceled per instructions outlined in your subscription terms or by providing written notice via email to Sutton & Smart LLC.

• Subscription cancellations must be requested before your next scheduled billing cycle to prevent future charges.

• Cancellation stops future billing only; no partial or prorated refunds for unused time or services already billed will be issued.

• Any balances due at cancellation remain your responsibility, payable immediately.

5. Website, Digital Assets, and Other Services—Ownership and Revocation Rights

For services including website development, hosting, digital asset creation, content development, software solutions, automation tools, CRM setup, or any other service provided by the Company, the following additional conditions explicitly apply:

• Sutton & Smart LLC retains sole ownership of all delivered Materials (including websites, domains, landing pages, content, graphics, and digital assets) until payment in full has been received and cleared.

• You are granted only a temporary license to use these delivered Materials while your account remains fully paid and in good standing. Nonpayment or late payment authorizes Sutton & Smart LLC to immediately suspend, restrict, or terminate your license, access, or use.

• Sutton & Smart LLC reserves the absolute right to shut down, restrict access, or revoke your license to websites, hosting, digital assets, CRM systems, or any other services and Materials if your account becomes overdue or you breach any payment terms.

• You explicitly agree that any disruption, damage, or loss resulting from such revocation or termination due to non-payment or breach is your sole responsibility, and Sutton & Smart LLC shall bear no liability whatsoever.

6. Payment Obligations & Non-Contingency

All payments are strictly non-contingent upon any external outcomes, satisfaction with service, campaign results, third-party contributions, or other factors. Your payment obligations to Sutton & Smart LLC stand fully independent of outcomes or perceived success.

Payments not received by their due date will incur late fees as outlined in our Terms of Service, with potential suspension or termination of your services or license rights. Outstanding balances may trigger collection and legal remedies, including recovery of all costs, interest, and reasonable attorneys’ fees incurred by the Company.

7. Chargebacks and Unauthorized Reversals Prohibited

Initiating unauthorized chargebacks or payment disputes is strictly prohibited and will be aggressively contested by Sutton & Smart LLC. Such actions constitute breach of this Policy and the Terms of Service and entitle Sutton & Smart LLC to immediate suspension or permanent termination of your licenses and access, as well as recovery of all fees, costs, damages, and expenses incurred.

8. Modifications of Policy and Availability

Sutton & Smart LLC reserves the right to revise this Policy at any time. Policy changes will be posted publicly and are effective immediately upon posting. Continued use following any changes constitutes your acceptance of the revised Policy.

The Company retains absolute discretion to alter, suspend, modify, or permanently discontinue any service, Materials, or offerings without individual notice, and such changes do not entitle you to refunds.

9. Integration with Terms of Service; Company Protection Priority

This Policy is integrated into and complements the Terms of Service Agreement. Should conflicts arise between documents, interpretations most protective of Sutton & Smart LLC’s rights and interests shall prevail. Nothing herein waives or limits rights outlined in the Terms of Service.
